These Terms & Conditions (“Terms”) govern your access to and use of raisewithintention.com and its pages, downloads, communications, courses, and related products/services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1) Who we are
Raise With Intention (“RWI,” “we,” “us”) is an education brand operated by GJS Consulting, LLC.
2) Educational use only — No medical advice
Content is for educational purposes only and is not medical advice. Dr. Michelle is a physician, but not your physician. The Services do not create a doctor–patient relationship, and RWI is not a HIPAA-covered entity or business associate. If you or your child may be experiencing a medical emergency, call 911 or contact a qualified clinician. Always consult your own licensed healthcare professional before acting on any information.
3) Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. The Services are directed to adults/parents and not to children under 13. By using the Services, you represent that you meet these requirements.
4) Accounts & security
You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your credentials. You are responsible for all activities under your account. Notify us immediately of any unauthorized use.
5) Purchases, payments & billing
We may offer paid products/services (including digital downloads, courses, memberships, and events). Payments are processed by third-party providers (e.g., Stripe, and we may also use SamCart and Square). You authorize us and our payment processors to charge your payment method for all purchases, including applicable taxes.
- Pricing & changes. Prices may change at any time before purchase.
- Payment plans/Subscriptions. If you enroll in a multi-pay or subscription, you authorize recurring charges until canceled per the offer terms. Failed or late payments may result in suspension or termination of access; you remain responsible for amounts due.
- Chargebacks. Filing a chargeback without first contacting support may be treated as breach; we reserve the right to suspend access and pursue amounts owed, including reasonable collection costs.
6) Refunds & cancellations
Unless a specific offer page or order form explicitly states a refund policy, all sales of digital products are final. For subscriptions/memberships, you may cancel future renewals at any time per the instructions in your account or by contacting support; cancellations do not retroactively refund past charges unless required by law or expressly provided in the offer.
7) License to digital content
Upon purchase, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the purchased content for your own household/personal use. You may not resell, share, upload publicly, redistribute, or create derivative works for commercial purposes without our prior written permission. We reserve all rights not expressly granted.
8) User content; feedback; testimonials
If you submit content (e.g., comments, questions, reviews, testimonials), you grant RWI a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display such content in connection with the Services and our marketing, subject to our Privacy Policy. You represent that you own or have rights to any content you submit and that it does not infringe others’ rights.
- Testimonials/Results. Testimonials are individual experiences; results vary. We do not guarantee outcomes.
9) Acceptable use
You agree not to: (a) violate laws or third-party rights; (b) upload malicious code; (c) attempt to gain unauthorized access; (d) harvest data or scrape; (e) misrepresent your identity; (f) use the Services to provide medical advice; (g) share paid content outside your licensed scope; or (h) interfere with the operation or security of the Services.
10) Intellectual property
All content, design, text, images, video, software, and trademarks on the Services are owned by RWI or our licensors and are protected by intellectual-property laws. RWI, our logos, and associated marks are trademarks of GJS Consulting, LLC. No rights are granted except as set out in these Terms.
DMCA Notice
If you believe content infringes your copyright, send a notice containing (i) your signature, (ii) identification of the work and allegedly infringing material, (iii) contact information, (iv) a statement of good-faith belief, and (v) a statement under penalty of perjury that your notice is accurate and you are authorized to act, to joe@raisewithintention.com. We may remove content at our discretion.
11) Third-party services & links
We may link to third-party sites or integrate third-party services (e.g., video players, checkout providers). We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.
12) Privacy
Our Privacy Policy explains how we collect, use, share, and safeguard information, including advertising disclosures and your opt-out rights. By using the Services, you consent to our data practices described there.
13) Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RWI AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
14) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RWI AND GJS CONSULTING, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES, EVEN IF FORESEEABLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APPLICABLE PRODUCT/SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS; YOUR RIGHTS MAY VARY.
15) Indemnification
You agree to defend, indemnify, and hold harmless RWI, GJS Consulting, LLC, and our owners, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; or (c) your violation of any law or third-party right.
16) Governing law; venue
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Subject to Section 17 (Arbitration), the exclusive venue for any permitted court action is the state or federal courts located in Washoe County, Nevada, and you consent to personal jurisdiction there.
17) Binding arbitration; class-action waiver
PLEASE READ THIS CAREFULLY. You and RWI agree to resolve any disputes arising out of or relating to the Services or these Terms through binding arbitration on an individual basis, administered by JAMS or the American Arbitration Association (AAA) under their applicable rules, and held in Reno, Nevada (or via remote video if mutually agreed). Class actions and class arbitrations are not permitted. This clause does not apply to (a) claims that qualify for small-claims court, or (b) injunctive relief to stop unauthorized use or IP infringement.
30-day opt-out. You may opt out of arbitration by emailing joe@raisewithintention.com within 30 days of your first use of the Services with the subject line “Arbitration Opt Out” and your full name and address.
18) Termination
We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or to comply with law. Upon termination, provisions that by their nature should survive (e.g., licenses granted to RWI, disclaimers, limitations, indemnities, arbitration, governing law) will survive.
19) Force majeure
We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, pandemics, labor disputes, supply interruptions, or internet failures.
20) Changes to the Services and Terms
We may modify or discontinue any part of the Services at any time. We may update these Terms; the “Last Updated” date indicates the latest revision. Material changes will be posted here and become effective upon posting (or as otherwise stated). Your continued use after changes means you accept the revised Terms.
21) Miscellaneous
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.
- Entire agreement. These Terms, together with the Privacy Policy and any order form/offer-specific terms, are the entire agreement between you and us regarding the Services.
- Electronic communications. You consent to receive communications electronically and agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
